Madison Energy Investments (“MEI”) believes in the power of clean energy infrastructure and has quickly emerged as a preeminent developer, investor, asset owner, and operator of distributed generation.
This role represents a critical next step in MEI’s evolution toward offering direct, end-to-end services to Fortune 500 corporates, public entities, nonprofits, and other private customers alike.
Our dynamic and innovative team is in search of a Counsel for Commercial Transactions, who will take the lead in drafting, reviewing, and negotiating transaction documents for new project acquisitions, PPAs with customers, and EPC agreements with strategic partners.
This individual will guide other members of the transaction team and play a crucial role in securing new project acquisition and development.
This position is responsible for leading the diligence and closing processes for all external parties including but not limited to, developers, EPCs, tax equity investors and lenders.
What you'll be doing
Leading project due diligence and negotiation from Letter of Intent to final execution of all transactional and project documentation.
Managing corporate governance and risk management.
Negotiating with external financing partners including, but not limited to, lenders, tax equity investors and MEI’s investors.
Reviewing and negotiating supply agreements with vendors.
Engaging, and overseeing, external counsel and contractors as necessary.
What We Are Looking For:
Juris Doctor from reputable law school and an active state bar registration.
Three to five years related experience at top law firm, including experience leading transactions.
Experience closing complex transactions involving multiple parties under aggressive timelines.
Experience in the solar industry is preferred.
With demonstrated knowledge of general business and industry practices, process and familiarity with federal and local energy regulations and performance standards preferred.
Excellent written and verbal communication skills, with the ability to present complex information in a clear and concise manner to diverse audiences.
